Terms and Conditions

Please read these Terms carefully as they contain important information regarding your legal rights, remedies, and obligations.
These Terms govern your access to and use of the Platform, which is provided by To Thank Technologies Limited t/a Shukur (the Company, Shukur, we, us, or our).
By accessing or using the Platform, creating an Account, uploading or posting Content, or otherwise using any functionality made available through the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference and forms part of this agreement.
If you do not agree to these Terms, you must not access or use the Platform.
If you accept these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.
The Company reserves the right to modify, suspend, or discontinue the Platform, or any part of it, at any time with or without notice. To the maximum extent permitted by applicable law, the Company shall not be liable for any modification, suspension, or withdrawal of the Platform.
General Information
The Platform is operated by To Thank Technologies Limited t/a Shukur (the Company, Shukur, we, us, or our), a limited liability company incorporated in the Abu Dhabi Global Market, United Arab Emirates, under commercial license number 16172.
If you use the Platform as an individual, references to “you” or “User” in these Terms refer to you personally. If you access or use the Platform on behalf of, or in your capacity as an employee, contractor, agent, or representative of a company, partnership, association, or other legal entity, references to “you” shall refer to that entity, and you represent and warrant that you have the authority to bind that entity to these Terms.
The Platform is intended for use within the United Arab Emirates. The Company does not represent that the Platform or any services available through it are appropriate or available for use in other jurisdictions.
Users who access the Platform from outside the United Arab Emirates do so at their own initiative and are responsible for ensuring compliance with any applicable laws in their jurisdiction.
Interpretation and Definitions
Words with capitalized initial letters have the meanings defined in the Definitions section below. These definitions apply equally whether the terms appear in singular or plural form. References to a person include individuals, companies, partnerships, and other legal entities. References to laws or regulations include any amendments, re-enactments, or replacements. The terms “including” and “include” mean including without limitation, and headings are included for convenience only and do not affect the interpretation of these Terms.
For the purposes of these Terms:
- Affiliate
means any entity that controls, is controlled by, or is under common control with a party, where control means ownership of 50% or more of the shares, equity interest, or other securities entitled to vote for the election of directors or other managing authority.
- Banking Partner
means Ruya Community Islamic Bank LLC (or its successor entity), which provides regulated banking services, accounts, card issuance, and related financial infrastructure supporting certain features of the Platform.
- Company
(referred to as “the Company”, “We”, “Us” or “Our”) means To Thank Technologies Limited t/a Shukur, incorporated in Abu Dhabi, United Arab Emirates.
- Content
means any text, images, information, or other materials that may be posted, uploaded, linked to, or otherwise made available through the Platform by you or other users.
- Country
means the United Arab Emirates.
- Device
means any device capable of accessing the Platform, including a computer, mobile phone, or tablet.
- Feedback
means any feedback, suggestions, ideas, or improvements you provide regarding the attributes, performance, or features of the Platform.
- Personal Data
means any information relating to an identified or identifiable individual.
- Platform
means the Shukur website, mobile applications, digital interfaces, and related services, tools, and functionality provided by the Company, including any updates or replacements made available from time to time.
- Promotions
means contests, sweepstakes, campaigns, or other promotional activities offered through the Platform.
- Terms
means these Terms and Conditions, which govern your access to and use of the Platform and form the entire agreement between you and the Company regarding such use.
- Third-Party Services
means any services, content, data, products, or functionality provided by third parties that may be displayed, integrated, or made available through the Platform.
- User or You
means the individual accessing or using the Platform, or the company or legal entity on whose behalf such individual is accessing or using the Platform, as applicable.
Account Registration and Usage
Eligibility
The Platform is intended for use only by individuals who are at least eighteen (18) years of age and who have the legal capacity to enter into binding agreements. By accessing or using the Platform, you represent and warrant that you satisfy these requirements.
If you do not meet these eligibility requirements, you must not access or use the Platform.
Account Registration
Access to certain features of the Platform requires the creation of a user account (“Account”). As part of the registration process, you may be required to provide personal or business information and supporting documentation necessary to verify your identity and comply with applicable regulatory requirements.
This may include Know Your Customer (KYC), Know Your Business (KYB), Anti-Money Laundering (AML), and sanctions screening procedures carried out by the Company, the Banking Partner, or their authorised service providers.
The Company reserves the right, at its sole discretion, to approve, reject, or request additional information in connection with any Account registration.
Information and Verification Requirements
You agree to:
- provide complete, accurate, and current information when registering or maintaining your Account;
- promptly update any information that becomes inaccurate or outdated; and
- cooperate with any requests from the Company, the Banking Partner, or their service providers for additional documentation or verification.
Such requests may be made in order to:
- verify your identity or authority to act on behalf of a legal entity;
- confirm the source of funds or nature of transactions; or
- comply with applicable laws, regulations, and internal compliance policies.
Failure to provide requested information or documentation may result in delays, restrictions on access to the Platform, suspension of your Account, or termination of services.
Username Requirements
The Company will assign your username as your profile name, which shall be your legal name as per your Emirates ID (for individuals) or your company name as per your trade license (for businesses). The Company reserves the right to modify or reject any username where required to ensure compliance with applicable laws, prevent misleading use, or protect the rights of any person or entity.
Compliance with Laws
You must use the Platform only for lawful purposes and in compliance with all applicable laws and regulations.
You must not use the Platform to engage in or facilitate:
- fraud;
- money laundering;
- terrorist financing;
- sanctions violations; or
- any other unlawful activity.
The Company may review activity on the Platform in order to maintain the security and integrity of the Platform and to comply with applicable law.
Individual Accounts
Where an Account is created by an individual, you represent and warrant that:
- you meet the eligibility requirements set out in these Terms;
- all information provided during registration is accurate and complete; and
- you have not previously held an Account that has been suspended, terminated, or restricted by the Company or the Banking Partner.
Business Accounts
Where an Account is created or used on behalf of a legal entity, you represent and warrant that:
- the entity is duly incorporated or organized and validly existing under applicable law;
- you are authorised to bind the entity to these Terms; and
- the entity complies with all applicable laws and regulatory obligations, including AML and counter-terrorist financing requirements.
Account Security
You are responsible for maintaining the confidentiality of your Account credentials and for all activities that occur through your Account. You must notify the Company immediately if you become aware of any unauthorised use of your Account or any breach of security.
The Company shall not be liable for any loss or damage arising from your failure to maintain the security of your Account credentials.
Suspension or Termination
The Company may suspend, restrict, or terminate your Account or access to the Platform where it reasonably believes that:
- you have breached these Terms;
- your Account is being used for unauthorised, fraudulent, or unlawful purposes;
- required verification or compliance checks cannot be completed; or
- such action is necessary to comply with applicable law, regulatory requirements, or Banking Partner obligations.
Electronic Communications
By creating an Account or using the Platform, you consent to receive communications from the Company electronically, including via SMS messages.
Such communications may include notices relating to your Account, updates to the Platform, changes to these Terms, service announcements, and other information relating to your use of the Platform. The Company may also deliver communications on behalf of the Banking Partner or other service providers in connection with services accessed through the Platform.
Communications may be provided through the Platform, by email, by SMS, by in-app notification, or through other electronic means associated with your Account.
You agree that electronic communications (including SMS messages) from the Company satisfy any legal requirement that such communications be provided in writing.
You are responsible for ensuring that the contact information associated with your Account, including your mobile number, is accurate and up to date.
Banking Partner and Third-Party Services
Platform Role
The Company operates the Platform as a technology interface that enables Users to access certain services and functionality. The Company does not itself provide regulated banking or financial services unless expressly stated otherwise.
Banking Partner Services
Certain services accessible through the Platform, including but not limited to financial accounts, payment services, stored balances, debit cards, transfers, or other regulated financial services, may be provided by the Banking Partner or by other regulated financial institutions.
Where such services are made available through the Platform, they are provided and regulated by the relevant financial institution and are subject to that institution’s applicable terms, conditions, policies, and regulatory requirements.
The Company is not responsible for the provision, performance, or availability of such services, except to the extent required by applicable law. The Company may enforce any eligibility, compliance, or transaction restrictions imposed by the Banking Partner or applicable law.
No Custody of Funds
The Company does not hold, control, or manage customer funds. Any funds associated with financial services accessed through the Platform are held, safeguarded, and processed by the Banking Partner in accordance with applicable law and regulations and will be subject to the Banking Partner’s terms and conditions which can be accessed for individuals at: Ruya Bank Terms Individuals and for legal entities at: Ruya Bank Terms Business
Acceptance of Additional Terms
Where financial services are provided by the Banking Partner or another regulated financial institution, Users may be required to enter into additional agreements directly with that institution. Your use of such services may be conditional upon acceptance of those additional terms.
Third-Party Service Providers
In order to operate the Platform and provide services to Users, the Company may engage Third-Party Service providers, including regulated partners and other service providers such as identity verification providers, compliance screening providers, payment processors, infrastructure providers, analytics providers, and customer support providers.
The Company may rely on such Third-Party Services to support the operation and security of the Platform.
Information Sharing
You acknowledge and agree that the Company may collect, process, and share information relating to you or your Account with the Banking Partner and other Third-Party Service providers where reasonably necessary to:
- provide or enable services available through the Platform;
- verify your identity and perform compliance checks, including KYC, KYB, AML, and sanctions screening;
- process transactions or support financial services; or
- comply with applicable legal, regulatory, or risk management requirements.
Such processing and sharing of information will be carried out in accordance with the Company’s Privacy Policy and applicable data protection laws.
Enforcement of Partner Requirements
The Company may enforce eligibility criteria, verification procedures, transaction restrictions, or other compliance requirements imposed by the Banking Partner or applicable law. This may include restricting accounts or suspending access to services where required to comply with regulatory or risk management obligations.
Third-Party Service Pricing and Transactions
Where Users access services provided by Third-Party Service providers through the Platform (including services such as mobile top-ups or similar services), such services are provided by independent third parties and not by the Company.
Pricing for such services is determined and supplied by the relevant third-party provider in real time and may include foreign exchange rates, fees, or other charges imposed by that provider. The Company does not control or set such pricing.
The price displayed at the time a User confirms a transaction reflects the rate provided by the third-party provider at that specific moment and applies only to that transaction. Prices may change prior to confirmation.
Once a transaction has been confirmed, it may be processed immediately and may not be capable of cancellation, reversal, or refund, except in cases of technical failure or where required by applicable law.
The Company is not responsible for delays, failures, or errors caused by Third-Party Service providers or underlying service operators. However, the Company will use reasonable efforts to assist Users in resolving issues where they arise.
Users are responsible for ensuring that all transaction details provided are accurate prior to confirming a transaction. The Company is not responsible for errors resulting from incorrect information provided by the User.
Third-Party Terms
Where Users access Third-Party Services through the Platform, such services may be subject to separate terms and policies imposed by the relevant third party. The Company does not control and is not responsible for the content, availability, or performance of Third-Party Services except to the extent required by applicable law.
Acceptable Use of the Platform
Lawful Use
You agree to access and use the Platform only for lawful purposes and in accordance with these Terms and all applicable laws and regulations.
You must not use the Platform in any manner that may violate any applicable law or regulation, including laws relating to fraud, anti-money laundering, sanctions, or the financing of terrorism.
Prohibited Conduct
When using the Platform, you must not:
- engage in or facilitate any unlawful, fraudulent, or deceptive activity;
- use the Platform in a manner that could damage, disable, overburden, or impair the operation or security of the Platform or interfere with any other User’s use of the Platform;
- attempt to gain unauthorised access to any part of the Platform, any Account, or any systems or networks connected to the Platform;
- introduce viruses, malware, or other harmful technological material designed to disrupt or damage systems, software, or data;
- impersonate any person or entity, or misrepresent your identity or authority to act on behalf of another person or entity;
- upload, transmit, or distribute Content that is unlawful, defamatory, obscene, discriminatory, abusive, or otherwise objectionable;
- infringe any intellectual property rights, privacy rights, or other legal rights of any person; or
- use the Platform for any activity that could expose the Company, the Banking Partner, or other service providers to regulatory or legal risk.
User Responsibility
You are solely responsible for your use of the Platform and for any activity conducted through your Account.
You must ensure that any Content or information you upload, post, or transmit through the Platform complies with these Terms and applicable laws.
Monitoring and Enforcement
The Company may review activity on the Platform in order to maintain the security and integrity of the Platform and to comply with applicable law.
Where the Company reasonably believes that a User has breached these Terms or engaged in prohibited activity, the Company may take any action it considers appropriate, including:
- removing or restricting access to Content;
- restricting or suspending access to the Platform; or
- suspending or terminating the User’s Account.
Such actions may be taken without prior notice where necessary to protect the Platform, Users, the Banking Partner, or to comply with applicable law.
Reporting of Unlawful Activity
The Company may report suspected unlawful or suspicious activity to relevant regulatory authorities, law enforcement agencies, or financial institutions where required or permitted by applicable law or regulatory obligations.
Risk and Compliance Measures
The Company may implement operational, security, and risk management measures in connection with the use of the Platform. This may include restricting certain activities or requesting additional information or documentation from Users where reasonably necessary to maintain the security and integrity of the Platform or to support requirements imposed by the Banking Partner, Third-Party Service providers, or applicable law.
Content and Intellectual Property
User Content
The Platform may allow Users to post, upload, transmit, or otherwise make available Content through the Platform.
You are solely responsible for any Content that you submit or make available through the Platform, including ensuring that such Content is lawful and does not infringe upon the rights of any third party.
By submitting Content through the Platform, you represent and warrant that you have all necessary rights, permissions, and authority to provide such Content and to grant the rights described in these Terms.
Licence to the Company
By posting or submitting Content through the Platform, you grant the Company a worldwide, non-exclusive, royalty-free, transferable licence to use, reproduce, modify, display, distribute, and otherwise make available such Content for the purpose of operating, improving, promoting, and providing the Platform and related services.
This licence continues for as long as the Content remains available on the Platform, subject to applicable law.
Content Restrictions
Users must not upload, post, or transmit Content through the Platform that:
- is unlawful, defamatory, abusive, discriminatory, or otherwise objectionable;
- infringes the intellectual property rights, privacy rights, or other legal rights of any person;
- contains viruses, malware, or other harmful code;
- impersonates any person or entity or misrepresents the User’s identity or authority; or
- is intended to mislead, deceive, or defraud other Users.
The Company reserves the right, but not the obligation, to review, remove, or restrict any Content that it reasonably believes violates these Terms or applicable law.
Intellectual Property Rights
All intellectual property rights in the Platform, including software, technology, design, logos, trademarks, text, graphics, and other materials provided by the Company, are owned by or licensed to the Company.
Nothing in these Terms grants you any ownership rights in the Platform or its content.
You are granted a limited, non-exclusive, non-transferable, and revocable licence to access and use the Platform solely for its intended purpose and in accordance with these Terms.
Restrictions on Use
You must not:
- copy, reproduce, modify, distribute, or create derivative works of any part of the Platform except as permitted by law or these Terms;
- reverse engineer, decompile, or attempt to extract the source code of the Platform;
- remove, alter, or obscure any copyright, trademark, or proprietary notices displayed on the Platform.
Feedback
If you provide any Feedback regarding the Platform or the Company’s services, you agree that the Company may use such Feedback without restriction or compensation to you.
To the extent permitted by applicable law, you assign to the Company all rights, title, and interest in any Feedback you provide. Where such assignment is not effective, you grant the Company a perpetual, irrevocable, worldwide, royalty-free licence to use and exploit such Feedback for any purpose.
Copyright Complaints
The Company respects the intellectual property rights of others. If you believe that any Content on the Platform infringes your copyright or other intellectual property rights, you may notify the Company using the contact details provided in these Terms.
Upon receiving a valid notice of infringement, the Company may investigate the matter and remove or restrict access to the relevant Content where appropriate.
No Financial Advice
Nothing available through the Platform constitutes financial, legal, tax, or investment advice.
The Platform may present information, services, or payment options provided by third parties or the Banking Partner, but the Company does not recommend or endorse any particular service, transaction, or financial decision.
You are solely responsible for evaluating the suitability of any service or transaction made through the Platform.
Platform Availability and Technical Operation
Platform Availability
The Company will use reasonable efforts to make the Platform available to Users on a continuous basis. However, the Company does not guarantee that the Platform, or any part of it, will be available at all times or free from interruption, delay, or error.
Access to the Platform may be temporarily suspended or restricted from time to time for maintenance, upgrades, security purposes, or other operational reasons.
Modifications to the Platform
The Company may modify, update, suspend, or discontinue any part of the Platform, or any functionality available through the Platform at any time.
The Company shall not be liable for any modification, suspension, or discontinuation of the Platform, or any feature of the Platform, to the extent permitted by applicable law.
Technical Requirements
Use of the Platform may require a compatible Device, internet connectivity, and access to certain software or operating systems.
You are responsible for ensuring that your Device and systems are compatible with the Platform and for maintaining access to the equipment and communication channels required to use the Platform.
Maintenance and Updates
The Company may carry out maintenance, updates, or technical changes to the Platform from time to time in order to improve functionality, address security risks, or comply with operational requirements or requirements imposed by the Banking Partner, or applicable law.
Such maintenance or updates may temporarily affect the availability or functionality of the Platform.
Data Integrity and Backups
While the Company may implement reasonable technical measures designed to maintain the integrity and security of data stored or processed through the Platform, the Company does not guarantee that data will be free from loss, corruption, or unauthorised access.
To the extent permitted by applicable law, the Company shall not be responsible for any loss or corruption of data arising from technical failures, system interruptions, or the actions of third parties. The Company does not guarantee the availability, integrity, or preservation of any Content stored or transmitted through the Platform.
Security Measures
The Company may implement security and risk management measures designed to protect the Platform and Users, including monitoring, authentication procedures, and fraud prevention controls.
You agree to comply with any security procedures or instructions communicated by the Company in connection with the use of the Platform.
Third-Party Infrastructure
The operation of the Platform may depend on services provided by Third-Party Service providers, including cloud infrastructure providers, telecommunications providers, payment processors, and other service providers.
The Company does not control and is not responsible for failures, interruptions, or delays caused by such third-party systems, except to the extent required by applicable law.
Force Majeure
The Company shall not be liable for any delay or failure to perform its obligations under these Terms where such delay or failure results from events beyond its reasonable control, including natural disasters, telecommunications failures, cyber incidents, governmental actions, or failures of third-party infrastructure providers.
Fees and Charges
Shukur Fees
Use of certain services available through the Platform is subject to fees charged by the Company. The following fees apply to services provided by the Company through the Platform:

These fees apply to the use of the relevant services available through the Platform and may be updated from time to time in accordance with these Terms.
Updates to Fees
The Company reserves the right to amend or update the fees set out in this section from time to time. Where required by applicable law, the Company will provide Users with reasonable notice before any material changes to applicable fees take effect.
Continued use of the Platform after such changes take effect constitutes acceptance of the updated fees.
Banking Partner or Financial Institution Fees
Certain services available through the Platform, including services relating to financial accounts, payments, cards, or transfers, may be provided by the Banking Partner or other regulated financial institutions.
These services may be subject to separate fees or charges imposed by the Banking Partner or other regulated financial institution, which are governed by their own respective terms, conditions and fees.
Users are responsible for reviewing and accepting any such fees before using those services. See clause 19 for more details.
Other Third-Party Service Fees
Where services are provided through Third-Party Service providers, those providers may charge additional fees or charges in accordance with their own terms and conditions.
The Company does not control and is not responsible for fees charged by third-party service providers.
Payment of Fees
You agree to pay all applicable fees associated with your use of the Platform. Where applicable, you authorise the Company, through the Bank Mandate Authority provided to the Company at Platform Registration, or the relevant service provider to deduct such fees from amounts processed through the Platform or otherwise collect such fees using payment methods associated with your Account.
Promotions
Promotional Offers
From time to time, the Company may offer Promotions through the Platform, including incentives, rewards, campaigns, referral programmes, or other promotional offers.
Participation in any Promotion may be subject to additional terms, conditions, eligibility requirements, or limitations, which will be made available at the time the Promotion is offered.
Promotional Rules
By participating in any Promotion, you agree to comply with the applicable rules and conditions governing that Promotion.
Where the terms of a Promotion conflict with these Terms, the specific terms applicable to that Promotion shall prevail to the extent of the conflict.
Modification or Withdrawal
The Company reserves the right to modify, suspend, or withdraw any Promotion at any time, subject to applicable law and the specific terms governing that Promotion.
Abuse of Promotions
The Company may suspend or terminate your eligibility to participate in Promotions if it reasonably believes that you have abused, manipulated, or otherwise misused any Promotion or attempted to circumvent the applicable rules.
Transactions and Payment Instructions
Transaction Instructions
The Platform may enable Users to initiate certain transactions or payment instructions, including transfers, payments, or other financial instructions, through functionality made available on the Platform.
By submitting a transaction or payment instruction through the Platform, you authorise the Company to transmit that instruction to the relevant Banking Partner or other third-party institution responsible for executing the transaction.
Authorisation of Transactions
A transaction instruction will be considered authorised by you when it is submitted through your Account using the authentication procedures required by the Platform, including any security or verification measures implemented by the Company.
You are responsible for ensuring that all information provided in connection with a transaction instruction is accurate and complete.
The Company is not responsible for errors in transaction instructions caused by incorrect or incomplete information provided by you.
Role of the Company
The Company facilitates the transmission of transaction instructions through the Platform but does not execute financial transactions or hold customer funds.
Execution of payment transactions, transfers, or other financial services is carried out by the Banking Partner or other regulated financial institutions in accordance with their applicable terms, policies, and regulatory obligations.
Transaction Processing
Once a transaction instruction has been submitted through the Platform and transmitted to the relevant financial institution, the processing, settlement, and completion of that transaction are subject to the rules, procedures, and processing times of the Banking Partner or other financial institution involved.
The Company does not guarantee that any transaction will be completed within a specific timeframe.
Refusal or Delay of Transactions
A transaction instruction may be refused, delayed, or cancelled where reasonably necessary, including where:
- the transaction appears to be fraudulent or unlawful;
- required compliance checks cannot be completed;
- the transaction violates applicable law, regulatory requirements, or internal risk management procedures; or
- the relevant financial institution declines to process the transaction.
The Company may take such action in order to comply with applicable legal, regulatory, or Banking Partner requirements.
Errors and Disputes
If you believe that a transaction has been processed incorrectly or without your authorization, you must notify the Company as soon as reasonably possible.
The Company may review the matter and, where appropriate, coordinate with the Banking Partner or other relevant service providers.
Resolution of transaction errors may be subject to the terms and conditions, policies, procedures, and regulatory obligations of the relevant financial institution.
Transaction Records
The Platform may display records of transactions associated with your Account. Such records are provided for informational purposes only.
Official records of financial transactions may be maintained by the Banking Partner or other financial institution responsible for executing the transaction.
Links to Third-Party Websites
The Platform may contain links to third-party websites or services that are not owned or controlled by the Company. The Company has no control over and assumes no responsibility for the content, policies, or practices of any third-party websites or services. Your use of third-party websites or services is entirely at your own risk and subject to the terms and conditions of those third parties.
Account Closure, Suspension and Termination
User-Initiated Account Closure
You may request closure of your Account at any time through the Platform or by contacting the Company using the contact details provided in these Terms.
The Company may require you to complete certain verification or administrative steps before an Account can be closed, including the settlement of any outstanding obligations or completion of any pending transactions. The Company may delay closure of an Account until any outstanding balances, pending transactions, or regulatory obligations have been settled.
Closure of your Account may not result in the immediate deletion of your Personal Data, which may be retained in accordance with the Company’s Privacy Policy and applicable legal or regulatory requirements.
Company Suspension Rights
The Company may suspend, restrict, or terminate your Account or access to the Platform, with or without prior notice, where the Company reasonably believes that:
- you have breached these Terms;
- your Account is being used in an unauthorised, fraudulent, or unlawful manner;
- required verification, compliance, or regulatory checks cannot be completed;
- such action is necessary to comply with applicable law, regulatory obligations, or requirements imposed by the Banking Partner or other relevant service providers; or
- continued access to the Platform may pose a security or operational risk.
Banking Partner or Regulatory Actions
Certain services available through the Platform may depend on the involvement of the Banking Partner or other regulated financial institutions.
Where required by applicable law, regulatory requirements, or the policies of the Banking Partner, the Company may restrict access to certain services, suspend Accounts, or take other actions necessary to comply with such requirements.
Effect of Termination
Upon suspension or termination of your Account:
- your right to access and use the Platform will immediately cease;
- any outstanding obligations under these Terms will remain in effect; and
- the Company may retain certain information relating to your Account where required to comply with applicable law, regulatory obligations, or legitimate business purposes.
Termination of your Account will not affect any rights or obligations that have accrued prior to the date of termination.
Survival of Provisions
Any provisions of these Terms which by their nature should survive termination shall remain in effect following the termination or closure of your Account, including provisions relating to liability, intellectual property, indemnification, dispute resolution, and governing law.
Disclaimer of Warranties
Platform Provided “As Is”
The Platform and all services, features, and functionality made available through the Platform are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, statutory, or otherwise, to the maximum extent permitted by applicable law.
No Warranty of Availability
The Company does not warrant that the Platform will operate uninterrupted, be free from errors, or be available at all times. The Company makes no representation that the Platform will meet your requirements or achieve any intended results.
No Warranty for Third-Party Services
Certain services accessible through the Platform are provided by the Banking Partner or other Third-Party Service providers.
To the maximum extent permitted by applicable law, the Company makes no representations or warranties regarding the availability, performance, accuracy, or reliability of such services. Your use of services provided by the Banking Partner or third parties is subject to their respective terms and conditions.
No Warranty Regarding Content
The Company does not warrant the accuracy, completeness, or reliability of any Content made available through the Platform, including Content provided by Users or third parties.
You acknowledge that you use the Platform and any Content available through it at your own risk.
Technical Risks
The Company does not guarantee that the Platform, its servers, or communications sent from the Company will be free from viruses, malware, or other harmful components.
Users are responsible for implementing appropriate security measures for their own devices and systems.
Statutory Rights
Nothing in these Terms excludes or limits any warranties or rights that cannot be excluded or limited under applicable law.
Limitation of Liability
Exclusion of Certain Damages
To the maximum extent permitted by applicable law, the Company, its Affiliates, directors, employees, agents, licensors, and service providers shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or in connection with your access to or use of the Platform, including but not limited to:
- loss of profits, revenue, or business opportunities;
- loss of data or information;
- business interruption; or
- loss of goodwill.
Platform Use
The Company shall not be liable for any loss or damage resulting from:
- your inability to access or use the Platform;
- interruptions, delays, or technical failures affecting the Platform;
- errors or inaccuracies in information provided through the Platform; or
- unauthorised access to or use of your Account resulting from your failure to maintain the security of your Account credentials.
Banking Partner and Third-Party Services
Certain services accessible through the Platform are provided by the Banking Partner or other Third-Party Service providers.
To the maximum extent permitted by applicable law, the Company shall not be responsible for any loss or damage arising from:
- the provision or performance of services by the Banking Partner or other regulated financial institutions;
- the acts, omissions, or failures of Third-Party Service providers; or
- any fees, charges, or actions taken by such third parties.
Your rights in relation to services provided by the Banking Partner or other third parties are governed by their respective terms and conditions.
Transaction Instructions
The Company shall not be liable for losses resulting from transaction instructions submitted through your Account, including where such instructions contain incorrect or incomplete information provided by you. The Company shall also not be liable for any loss, failed payment, failed tip, delayed transaction, or other disruption arising from the malfunction, defect, technical failure, damage, misuse, loss of connectivity, or improper operation of any wristband or other similar device provided by the Company, including where a payment or tip is not processed or recorded as a result of such malfunction or failure.
Maximum Liability
To the maximum extent permitted by applicable law, the total aggregate liability of the Company arising out of or in connection with these Terms or your use of the Platform shall not exceed the total amount of fees paid by you to the Company for use of the Platform during the twelve (12) months preceding the event giving rise to the claim whether arising in contract, tort (including negligence), breach of statutory duty, or otherwise.
Non-Excludable Liability
Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.
Indemnification
User Indemnity
You agree to indemnify, defend, and hold harmless the Company, its Affiliates, directors, officers, employees, agents, licensors, service providers, and the Banking Partner from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- your access to or use of the Platform;
- your breach of these Terms;
- your violation of any applicable law or regulation;
- any Content or information submitted, posted, or transmitted by you through the Platform; or
- your infringement of the intellectual property rights, privacy rights, or other legal rights of any person or entity.
Cooperation in Defence
Where the Company is subject to a claim covered by this indemnity, you agree to provide reasonable cooperation and assistance in the defence of such claim.
The Company reserves the right, at its own expense, to assume exclusive control of the defence and settlement of any matter subject to indemnification by you.
Survival
Your obligations under this Section shall survive the termination or closure of your Account and the termination of these Terms.
Privacy and Data Protection
Privacy Policy
The Company collects, uses, and processes Personal Data in connection with your use of the Platform in accordance with the Privacy Policy, which forms part of these Terms and is incorporated by reference.
You should review the Privacy Policy carefully to understand how your Personal Data is collected, used, stored, and shared.
Data Processing
By using the Platform, you acknowledge and agree that the Company may process your Personal Data as described in the Privacy Policy, including sharing such data with the Banking Partner and Third-Party Service providers where necessary to:
- provide services through the Platform;
- verify your identity and perform compliance checks including KYC, KYB, AML, and sanctions screening;
- process transactions or support financial services; or
- comply with applicable legal, regulatory, or risk management requirements.
The Company may also process user data, including customer support interactions, chatbot conversations, uploaded content, and other user-generated information, to improve the Platform, products, services, and internal processes.
Customer Consent and Data Sharing
By creating an Account or using the Platform, you expressly consent to the collection, use, processing, and sharing of your Personal Data between the Company, the Banking Partner, and relevant Third-Party Service providers where reasonably necessary to:
- enable account onboarding, verification, and ongoing service provision;
- provide access to financial services offered by the Banking Partner;
- display and manage account and transaction information through the Platform;
- provide customer support and operational services;
- conduct identity verification, KYC, KYB, AML, sanctions screening, and other compliance checks carried out by the Banking Partner or its service providers;
- detect, prevent, and investigate fraud, security incidents, misuse of the Platform, or violations of applicable terms and policies, including through the use of automated and AI-based systems to review and analyse user-generated content; and
- comply with applicable laws, regulatory requirements, or requests from competent authorities.
You further acknowledge and agree that the Company may use Personal Data and user-generated data for the training, testing, and refinement of automated systems and artificial intelligence tools, including customer support chatbots and internal operational tools, in accordance with applicable data protection laws.
The Company may also use aggregated and/or anonymized data for analytics, product development, service optimisation, and business improvement purposes.
You acknowledge that such data sharing and processing are necessary for the operation of the Platform, and the provision of services made available through it. If you withdraw your consent to such data sharing, certain features or services may no longer be available to you.
All processing and sharing of Personal Data will be carried out in accordance with the Privacy Policy and applicable data protection laws.
Governing Law and Dispute Resolution
Governing Law
These Terms, and any dispute or claim arising out of or in connection with them or your use of the Platform, shall be governed by and construed in accordance with the laws of the United Arab Emirates, without regard to its conflict of law principles.
Informal Resolution
If you have any concerns or disputes relating to the Platform, you agree to first contact the Company and attempt to resolve the matter informally before initiating formal legal proceedings.
Jurisdiction
The courts of Dubai, United Arab Emirates shall have exclusive jurisdiction to resolve any dispute or claim arising out of or in connection with these Terms or your use of the Platform.
General Provisions
Changes to the Terms
The Company may amend or update these Terms from time to time. Updated versions of the Terms will be made available through the Platform or otherwise communicated to Users.
Where required by applicable law, reasonable notice will be provided before material changes take effect. Your continued use of the Platform after such changes become effective constitutes your acceptance of the updated Terms.
Severability
If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable. If such modification is not possible, the relevant provision shall be deemed severed, and the remaining provisions of these Terms shall continue in full force and effect.
Waiver
Failure by the Company to enforce any provision of these Terms shall not constitute a waiver of that provision or of the right to enforce it at a later time. Any waiver of a provision of these Terms shall only be effective if made in writing.
Entire Agreement
These Terms, together with the Privacy Policy and any other policies or documents incorporated by reference, constitute the entire agreement between you and the Company regarding your use of the Platform, and supersede any prior agreements, communications, or understandings relating to the subject matter of these Terms.
Language
These Terms may be translated into languages other than English. In the event of any inconsistency between the English version and a translated version, the English version shall prevail.

External Applicable Terms and Conditions
In addition to these Terms, all financial services accessed through the Platform are provided by the Banking Partner and are subject to their respective terms and conditions (“External Terms”). You are required to review and accept such External Terms in order to access and use the relevant services. Your use of any financial services made available through the Platform is conditional upon your acceptance of those External Terms. In the event of any conflict between these Terms and the External Terms in relation to such services, the External Terms shall prevail to the extent of the conflict.
